Terms and Conditions World Experience

Article 1 Definitions
In these general Terms and Conditions, the following definitions shall apply, unless explicitly indicated otherwise:
a. World Experience:organization that recruits participants and places them in projects.
b. Client: Participant or Organization.
c. Organization(s): organization(s) on the spot where participant(s) of World Experience perform volunteer work.
d. Participant:one who registers and/or signs up for the, by World Experience offered, projects.
e. In writing: digital communication is also defined and considered as in writing.

Article 2 Applicability
1. These Terms and Conditions apply to each and every offer, quotation, tender and/or agreement between World Experience and a Client, insofar as parties have not explicitly deviated from the Terms and Conditions in writing.
2. The Terms and Conditions shall also apply to all other agreements with World Experience, the performance of which calls for the services of third parties.
3. The applicability of any purchase conditions and/or other conditions of the client are explicitly rejected.
4. If one or more stipulations in the Terms and Conditions in whole or in part should be null and void or declared null and void, then the other stipulations of the Terms and Conditions shall remain fully applicable and in full force.

Article 3 Offers, tenders and agreement
1. The participant may register and/or sign up for one of the projects offered by World Experience via the website of World Experience or by filling in, signing and returning an application form to World Experience.
2. Organizations can register and/or sign up as stated under article 3.1 or by requesting a quotation.
3. All offers and tenders of World Experience are without obligations, unless an acceptance period is set. If no acceptance period is set, in no way shall any rights be derived to the offer or tender, if the project to which the offer or tender relates is no longer available.
4. World Experience cannot be held to its offers and tenders, if the client can reasonably understand that the offers and tenders, or any part thereof, contains a mistake or error.
5. The prices given in above-mentioned offers and tenders shall be exclusive of VAT and other government levies, as well as of the other expenses to be incurred within the scope of the Agreement, including shipping and administrative costs, travel and accommodation expenses, airport fees, reservation fees and necessary documents and insurances unless World Experience indicates otherwise.
6. After World Experience has received the written, or digital, registration form or the written acceptance of the quotation within the acceptance period, the client will receive a written, or digital, confirmation of his/her registration or notification and an invoice for payment of the costs mentioned in these Terms and Conditions.
7. An agreement between World Experience and Client is reached after World Experience has confirmed the registration of Participant in writing, or if the quotation has been accepted in writing by Client, and World Experience has received the payment in accordance with the invoice sent to Client.

Article 4 Costs
1. After filling in the registration form Participant is required to pay the reservation costs, program costs and project costs for its participation, of which the amount of the total cost is listed for each project separately. These costs exclude airfares, travel expenses, insurances, vaccinations, medications, travel documents and other personal expenses and costs.
2. The costs that World Experience makes for mediation, guidance and preparation for Participant fall under program costs.
3. The project costs include the costs the Organization makes on site for Participant during the project.
4. World Experience has the right, without giving reasons, to reject registrations or notifications, in this case the reservation and program costs will be refunded to the Client.

Article 5 Execution, modification and cancellation agreement
1. World Experience will execute the agreement with best knowledge and ability. World Experience will take the utmost account of the by Participant preferred start date. It is possible that World Experience gets notified on very short notice if, when and where Participant will be placed. After placement of Participant in a project the start and end date are fixed.
2. With the emergence of the agreement World Experience is obliged to mediate upon payment by Client of the costs mentioned in these terms and conditions.
3. If it appears, while performing the terms of the Agreement, that the work to be done needs to be changed and supplemented in order to ensure its proper performance, World Experience shall inform the Client and explain why the changes are necessary and the parties shall amend the Agreement accordingly in due time and through mutual consultations and what the possible (additional) costs are.
4. World Experience reserves the right to modify prices, terms and agreements and content of the programs/projects by force majeure.
5. The Client accepts the possibility of any change in or extension of the Agreement, including changes in price and time period of execution.
6. If Client wants to change the agreement, this shall be done in consultation with World Experience. World Experience cannot guarantee that adjustments are passed. Participant can postpone the booked project up to a maximum of 6 months after the initial specified start date. If Participant wishes to postpone the project for more than 6 months after the initial specified start date, Participant should cancel the program, where the cancellation policy will be in effect. If Participant postpones the program within 4 weeks before start of the project, administration fees will be charged.
7. If the project for any reason cannot go through, World Experience will inform Client as soon as possible and provide them a new proposal. Client should react in written within 14 days after receipt of the new proposal. If Client does not accept the offer, or does not respond within 14 days, and/or World Experience cannot give a suitable alternative proposal, then Client has the right to a refund of all that he/she has paid to World Experience minus the by World Experience incurred program costs and reservations costs.
8. World Experience reserves the right to cancel a project in cases where:
– after registration appears that Participant does not satisfy the requirements;
– the minimum of participants is not reached;
– participant cannot be placed in a project;
– the Organization is no longer able to receive and/or assist Participant;
– the security of the country where the project will be carried out has changed in such way that it could endanger the project and/or Participant.
In aforementioned cases, the paid program and project costs will be refunded.
9. If Client wants to cancel the project, this should be done in written with stating reasons. The program and project fees will be refunded:
– if the project is canceled and the cause is on side of World Experience and World Experience cannot do an alternative proposal.
– in particular, motivated and by the cancellation insurance accepted cases (independently arranged by Participant or via World Experience), provided that the conditions of this insurance are met. The policy conditions can be obtained from the relevant insurance company.
In all other cases the program and project costs will not be refunded. The costs associated with cancellation shall be borne by Client. The reservation costs and cancellation Insurance premium are never refundable.
10. If Participant wants to cancel or end his/her trip and/or program/project after arrival abroad; then neither World Experience nor Organization can refund the not followed/or yet to follow parts of the trip and/or program/project.

Article 6 Obligations Participant/Client
1. Participant is responsible for himself/herself to on his/her own account and own risk:
– book a flight and further preparations related thereto;
– sign with an insurance company such as, but not limited to, a travel insurance, cancellation insurance, healthcare insurance and accident insurance;
– get the required and necessary vaccinations and medications;
– get the right travel and identity documents on time such as, but not limited to, a passport and visa;
– obtain a certificate of good conduct, on request of World Experience.
World Experience is not responsible and/or liable for the damage suffered, if certain documents are not requested or provided on time.
2. With registration Participant accepts safety-, health- and infection risks that could come with the stay in the country for which Participant registered.
3. With registration Participant declares to be physically and mentally healthy, in order to be able to participate in a project of World Experience. At misstatement Participant is responsible for any costs resulting from not being able to participate in the program/project.
4. Client shall ensure that all data, which World Experience indicates as necessary or which Client can reasonably understand to be necessary for the execution of the contract, will be provided to World Experience on time. If the data required for the execution of the contract are not provided on time, World Experience has the right to suspend the contract and/or charge the additional costs resulting from the delay to Client.

Article 7 Force majeure
1. World Experience is not obliged to fulfill any obligation to Client if they are prevented from doing so as a result of a circumstance that is not due to debt, and by virtue of law, a legal act or generally accepted on this behalf
2. In these Terms and Conditions force majeure shall be understood, in addition to what is included in the law and jurisprudence, all external causes, foreseen or not, on which World Experience cannot have any influence which prevents World Experience to fulfill its obligations. Including strikes in the company of World Experience or of third parties. In any case included are domestic unrest, mobilization, war, road or transport construction, strike, company disorders, stagnation in supply, fire, flood and in the event that World Experience is not allowed by its own suppliers to deliver the program/project, for any reason, resulting in reasonably not expecting World Experience to fulfill the agreement/contract. World Experience also has the right to invoke on force majeure, if the circumstance which prevents (further) fulfillment of the agreement, occurs after World Experience should have fulfilled its contract.
3. During the period the force majeure continues, World Experience may suspend its obligations of the contract/agreement. If this period lasts longer than two months, then either of the parties shall be entitled to dissolve the agreement without the obligation to compensate the damage of the other party.
4. Insofar World Experience at the moment of start of the force majeure has already partially fulfilled its obligations resulting from the agreement or shall be able to fulfill them, and there is an individual value to the fulfilled or to be fulfilled parts, then World Experience has the right to charge the yet fulfilled and to be fulfilled parts separately. Client is obliged to pay this invoice as if there is a separate agreement/contract.

Article 8 Payment and collection fees
1. Unless otherwise agreed in writing, Client has to pay the amounts due under the agreement within 30 days from the invoice date, however always before start of the project.
2. If Client fails to fulfill his payment obligation within the term of 30 days, but always before start of the project, then Client shall be in default by operations of law. In that event, Client shall owe an interest of 1% per month, unless the statutory interest rate is higher, in which case the statutory interest rate shall apply. The interest on the amount due and payable shall be calculated as from the day the Client is in default until the moment Client has paid the amount in full.
3. If Client is in default or neglects his duty to fulfill his obligations (timely), all reasonable collection and executions fees in order to obtain the payment in- and outside rights shall be borne by Client.

Article 9 Complaints
1. If Participant has a complaint during participation in a project, Participant should immediately report this to the Organization on site. If this is not possible or the complaint is not satisfactorily settled, then Participant is obliged to notify World Experience in writing before his/her participation to the project ends. World Experience should be given the opportunity to investigate the complaint and, if well-founded, make improvements. Only if the complaint is still not satisfactorily settled, Participant can, within 1 month after the end of the project, submit the reasoned complaint in writing. If Participant does not meet the above mentioned requirements, he/she loses all his/her rights to get the complain settled.
2. If it is certain that a complaint is unfounded, then the resulting costs, including research costs on the part of World Experience will be integral for the Client’s account.
3. If it is certain that a complaint is founded, then World Experience will execute the agreed activities, unless this has become pointless.

Article 10 Liability
1. Should World Experience be liable, then said liability shall be limited to the stipulations of the present conditions.
2. World Experience is not liable for damage, of any kind, caused because World Experience was given incorrect and/or incomplete data by Client.
3. If World Experience should be liable for any damage, then the liability of World Experience is limited to the payment of the direct damages up to a maximum of twice the amount of the statement of expenses as invoiced, at any rate the fee of that part of the assignment to which the liability relates.
4. World Experience’s liability shall at all times be limited to a maximum equal to the amount of the payment to be made by World Experience’s insurer in the occurring event.
5. World Experience is only liable for direct damage.
6. Direct damage shall be understood to be exclusively:
a. the proven reasonable costs incurred to establish the cause and the volume of the damage, in so far as said establishment relates to direct damage in the sense of the Terms and Conditions;
b. the proven reasonable costs possibly incurred to have World Experience’s faulty performance meet the Conditions of the Agreement, unless such faulty performance cannot be attributed to World Experience. This damage, however, shall not be compensated for in the event that the agreement is terminated;
c. the proven reasonable costs incurred to prevent or limit the damage, in so far Client demonstrates that said costs have led to the limitation of direct damage as meant in the present general Terms and Conditions.
7. World Experience shall never be liable for indirect damage, including consequential damage, loss of profit, lost savings and damage due to business stagnation.
8. World Experience shall never be liable for (external) damage caused by failing to arrive on time at the destination (of the project).
9. The in this article included limitations of liability do not apply if the damage is due to intentional or gross negligence on the part of World Experience or its managerial subordinates.

Article 11 Safeguarding and indemnification
The Client shall indemnify World Experience against any and all claims filed by third parties concerning intellectual property rights on material or data provided or items by the Client, which shall be used for and during the performance of the Agreement.

Article 12 Applicable law and Disputes
Only Dutch shall apply in all legal relationships with World Experience being a party. Dutch law also applies if a contract is completely or partly executed abroad or if the in the legal relationship involved party is domiciled abroad. The applicability of the Vienna Sales Convention is excluded.

All disputes arising out of these Terms and Conditions shall be settled by the courts of the place of establishment of World Experience, which will have exclusive jurisdiction in respect of any such disputes, unless the law requires otherwise. Nevertheless, World Experience has the right to submit the dispute to the, according to law, competent court.

The Dutch version of these Terms and Conditions prevails at all time in case of disputes with regard to the interpretation, lack of clarity, contradictions and purpose of these Terms and Conditions.
